The Effect of Ultra Vires Transactions in Malaysia, that topic was given to my group for Ethics, aw & CSR paper this semester. It was presented by Gilberd and Abg Baharin today. They just started the presentation when i wrote this article.
The Ultra Vires refers to the expression an act beyond the powers. It is used to indicate an act of company which is beynd the powers conferred by the objects clause of its memorandum.
Why Ultra Vires: First of course to protect the investors of the company and secondly to protect the creditors of the company. It also as a guide for the directors.
Anyway bravo to Gilberd for the presentation. I just wait behind for their presentation.
